End User License Agreement

END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement“) is a legally binding agreement between you (“User,” “you,” or “your“) and Route Manager Software and Development, Inc. (“Company,” “we,” “us,” or “our“).

By accessing or using the Sanitation Manager software-as-a-service platform (the “Service“), you agree to be bound by this Agreement. If you do not agree, do not access or use the Service.

1. Grant of License

Subject to your compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes, as permitted by your subscription plan.

No ownership rights are granted to you under this Agreement.

2. Account Registration

You may be required to create an account to use the Service. You agree to:

  • Provide accurate and complete information
  • Keep your login credentials confidential
  • Be responsible for all activity under your account

Route Manager Software and Development, Inc. is not liable for unauthorized access caused by your failure to secure your account.

3. Restrictions

You agree not to:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or attempt to extract source code
  • Rent, lease, sell, sublicense, or distribute the Service
  • Use the Service to violate any law or regulation
  • Circumvent security, access controls, or usage limits
  • Use the Service to transmit malicious code or harmful content

4. User Content

You retain ownership of any data, content, or materials you upload or submit to the Service (“User Content“).

5. Intellectual Property Rights

The Service, including all software, documentation, trademarks, and related intellectual property, is owned by Route Manager Software and Development, Inc. or its licensors and is protected by applicable laws.

Except for the limited license granted above, no rights are granted to you.

6. Fees and Subscription Terms

The Service is offered on a subscription basis and requires payment. By subscribing, you agree to:

  • Pay all applicable fees
  • Authorize Company to charge your payment method
  • Comply with any billing terms presented at purchase

All fees are non-refundable unless required by law or expressly stated otherwise.

7. Updates and Modifications

Route Manager Software and Development, Inc. may update, modify, or discontinue any part of the Service at any time, with or without notice. Route Manager Software and Development, Inc. has no obligation to provide specific updates or continued availability of any feature.

8. Termination

This Agreement remains in effect until terminated.

Route Manager Software and Development, Inc. may suspend or terminate your access immediately if you violate this Agreement.

Upon termination:

  • Your license ends immediately
  • Your access to the Service may be disabled
  • Sections that by their nature should survive will survive termination

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Company does not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

IN NO EVENT SHALL COMPANY’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Route Manager Software and Development, Inc. from any claims, damages, losses, and expenses arising from:

  • Your use of the Service
  • Your violation of this Agreement
  • Your User Content

12. Governing Law and Venue

This Agreement shall be governed by the laws of California/United States, without regard to conflict of law principles.

Any disputes shall be brought exclusively in the courts located in California, unless otherwise required by law.

13. Changes to This Agreement

Route Manager Software and Development, Inc. may update this Agreement from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Agreement.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and Company regarding the Service and supersedes all prior agreements or understandings.
